Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Zentaro Systems Ltd, trading as Nook, a company registered in England and Wales (company number 17178666), with registered office at 167-169 Great Portland Street, 5th Floor, London, W1W 5PF, United Kingdom ("Nook", "we", "us", or "our"). The services include the website thenook.rent, our web application, our mobile applications (when available), and any related services we provide (collectively, the "Service").

By creating an account, using the Service, or otherwise accessing it, you agree to be bound by these Terms. If you do not agree, do not use the Service.

• Account — your registered user account on the Service.
• Content — listings, profile information, messages, documents, reviews, and any other information you submit to the Service.
• Listing — a rental property advertised through the Service, whether sourced from a Partner Source or published directly by a Landlord User.
• Landlord User — a user who lists property for rent through the Service.
• Partner Source — third-party websites and platforms from which we aggregate publicly available rental listings (such as Rightmove, Zoopla, Idealista, ImmoScout24, and others).
• Tenant User — a user who searches for rental property through the Service.
• Subscription — a paid plan you select to access certain features of the Service.

To use the Service, you must:

• Be at least 18 years old
• Have the legal capacity to enter into a binding contract
• Not be barred from using the Service under applicable law
• Provide accurate, current, and complete information when registering

If you are using the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

4.1 Account creation

You may create an account by providing required information (email, name, and additional details depending on your role as Tenant or Landlord User). You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4.2 Account security

You agree to notify us immediately at security@thenook.rent of any unauthorized access to or use of your account. We will not be liable for losses arising from unauthorized account use unless caused by our gross negligence.

4.3 One account per person

Each individual may maintain only one personal account. You may not impersonate another person or entity, or misrepresent your identity.

4.4 Account termination

You may delete your account at any time through Settings. We may suspend or terminate accounts that violate these Terms, applicable law, or our Acceptable Use Policy. Upon termination, your right to use the Service ends immediately, but provisions of these Terms that by their nature survive termination (including intellectual property, indemnification, and limitations of liability) will remain in effect.

5.1 What we provide

Nook provides a marketplace and AI-assisted search service for rental property. The Service includes:

• Aggregation of publicly available listings from Partner Sources
• AI-powered filtering, deduplication, and matching of listings to your preferences
• Direct listing publication by Landlord Users
• Communication tools between Tenant Users and Landlord Users
• Application and viewing scheduling tools
• Notifications via email, SMS, Telegram, WhatsApp, and other channels you select
• Analytics and market insight features

5.2 What we do not provide

Nook is not a real estate agent, broker, lessor, or party to any rental transaction. We:

• Do not own, manage, or control any rental property
• Do not guarantee the accuracy of any Listing
• Do not verify the identity or legal authority of every Landlord User (though we offer voluntary verification)
• Are not party to any rental agreement, contract, or transaction between Tenant and Landlord Users
• Do not handle deposits, rent payments, or any other financial transactions between users

All rental agreements are between you and the other party (Landlord or Tenant). Nook facilitates discovery and communication but is not a party to any transaction.

5.3 Aggregated listings

We aggregate publicly available rental listings from Partner Sources in accordance with applicable law and data protection requirements. The accuracy, completeness, and availability of these listings depend on the Partner Source. We make reasonable efforts to keep aggregated data current, but cannot guarantee real-time accuracy.

When you click on an aggregated listing, you will be directed to the original Partner Source where you can view the full listing and contact the landlord or agent. Any transaction conducted through that Partner Source is subject to that Partner Source's terms.

5.4 Service availability and changes

We strive to maintain reliable, available service but cannot guarantee uninterrupted access. We may modify, suspend, or discontinue parts of the Service at any time, with reasonable advance notice when feasible. We will provide at least 30 days' notice before discontinuing a Paid Subscription feature you rely on.

6.1 Your content

You retain ownership of Content you submit (listings, photos, descriptions, messages, reviews). By submitting Content, you grant Nook a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute that Content as necessary to operate and improve the Service.

6.2 Content standards

Content must:

• Be accurate and not misleading
• Comply with applicable laws and regulations
• Not infringe intellectual property rights
• Not contain illegal, threatening, harassing, defamatory, or obscene material
• Not promote discrimination, harassment, or violence
• Comply with our Acceptable Use Policy

We may remove Content that violates these standards. We do not pre-screen all Content but reserve the right to do so.

6.3 Your obligations as a Tenant User

You agree to:

• Provide accurate information in your profile and applications
• Treat Landlord Users professionally and not waste their time
• Honor viewing appointments you book or notify in advance if you cannot attend
• Not use the Service to circumvent rental laws or commit fraud
• Not solicit illegal activity through messaging

6.4 Your obligations as a Landlord User

You agree to:

• Have legal authority to rent the property you list
• Comply with all applicable local rental laws (Right to Rent in UK, registration in NL, etc.)
• Accurately describe the property and its features
• Not discriminate against applicants on the basis of protected characteristics (race, religion, gender, sexuality, disability, family status, etc.) as defined under applicable law
• Respond to inquiries within a reasonable time (we ask for 7 days maximum)
• Protect deposits and rent payments as required by law

6.5 Reviews and feedback

When you leave a review of another user, you agree to be truthful, fair, and respectful. Reviews may not contain personal attacks, harassment, defamation, or discriminatory content. We may moderate reviews and remove those that violate these standards.

7.1 Pricing tiers

The Service offers Free and Paid Subscription tiers. Current pricing is available at thenook.rent/pricing. We may change pricing with at least 30 days' notice to existing subscribers.

7.2 Free tier

The Free tier provides limited Service features without payment. We may impose reasonable usage limits on the Free tier.

7.3 Paid Subscriptions

Paid Subscriptions are billed monthly or annually depending on the plan. Payment is processed through our payment provider (Stripe). By subscribing, you authorize recurring charges at the stated price.

7.4 Subscription renewals

Paid Subscriptions automatically renew at the end of each billing period. You may cancel renewal at any time through Settings; cancellation takes effect at the end of the current billing period.

We will send a reminder email 3 days before renewal to give you the opportunity to cancel if desired.

7.5 Pay-per-result option

For users who select Pay-per-result, payment is due only upon a confirmed successful move-in resulting from Service-facilitated discovery. "Successful move-in" is defined in our Refund & Cancellation Policy.

7.6 Refunds and cancellation

Refunds and cancellation are governed by our Refund & Cancellation Policy. This includes:

• 14-day cooling-off period for new subscribers (EU/UK Consumer Rights Directive)
• Pro-rata refunds for terminated annual plans
• Specific rules for Pay-per-result tier

8.1 Service communications

By using the Service, you agree to receive communications related to your account, including transactional messages (account confirmation, billing, security), Service announcements, and updates.

8.2 Marketing communications

You may opt in to receive marketing communications (newsletters, product updates, promotional offers). You may unsubscribe at any time through Settings or links in marketing messages.

8.3 Channel preferences

You may select which channels (email, SMS, Telegram, WhatsApp, mobile push) receive Service communications. Some critical security and billing communications cannot be opted out of via email.

Your privacy is governed by our Privacy Policy and GDPR & Data Rights page. By using the Service, you consent to the data practices described in those policies.

10.1 Service IP

The Service (including software, design, logo, content created by Nook, AI models) is owned by Nook or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, revocable license to use the Service in accordance with these Terms.

10.2 Trademarks

"Nook", "The Nook", "Wren" (our AI agent name), and our logos are trademarks of Zentaro Systems Ltd. You may not use them without our written permission.

10.3 User Content licensing

See Section 5.1 above.

11.1 Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

• The Service will be uninterrupted or error-free
• Listings will be accurate or available
• Tenants will find suitable properties or landlords will find suitable tenants
• Our AI matching will be perfect or comprehensive
• All scams and fraudulent listings will be filtered out

11.2 Limitation of liability

To the maximum extent permitted by law, Nook's total liability to you for all claims arising from your use of the Service will not exceed the greater of:

• The amount you paid to Nook in the 12 months preceding the claim
• £100 GBP

We are not liable for indirect, consequential, special, or punitive damages, including loss of profits, data, business opportunity, or goodwill.

This limitation does not apply to:

• Death or personal injury caused by our negligence
• Fraud or fraudulent misrepresentation
• Liability that cannot be excluded under applicable law

11.3 Your responsibility for transactions

Any rental transaction you enter into is your own responsibility. We strongly recommend:

• Always view a property in person or via verified video call before paying
• Never pay deposit or rent before formal contract execution
• Verify landlord identity and property ownership when material
• Use legal contracts and protected deposit schemes
• Consult a solicitor for major decisions

You agree to indemnify and hold Nook harmless from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your Content
• Your violation of these Terms
• Your violation of applicable law or third-party rights
• Any rental transaction you participate in

This obligation survives termination of your account.

13.1 By you

You may stop using the Service and delete your account at any time.

13.2 By us

We may suspend or terminate your account for:

• Violation of these Terms
• Violation of our Acceptable Use Policy
• Suspected fraud or illegal activity
• Extended account inactivity (with notice)
• Other reasons with reasonable notice

13.3 Effect of termination

Upon termination:

• Your access to the Service ends
• We will delete or anonymize your personal data per our Privacy Policy and applicable law
• Any unpaid invoices remain due
• Provisions surviving termination remain in effect

14.1 Governing law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

14.2 Jurisdiction

You agree that any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales. Consumers may also bring claims in their country of residence, where applicable EU law permits.

14.3 Alternative dispute resolution

For EU consumers, we provide access to the EU Online Dispute Resolution Platform at https://ec.europa.eu/consumers/odr.

14.4 No class or representative actions

To the extent permitted by applicable law, you agree that claims and disputes relating to these Terms or the Service will be brought only on an individual basis, and not as part of any class, collective, representative, or consolidated action.

Nothing in this section limits any mandatory consumer rights or legal protections available under applicable law.

15.1 Changes to these Terms

We may update these Terms periodically. Material changes will be communicated by email and announcement at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

15.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

15.3 No waiver

Our failure to enforce any provision does not waive our right to enforce it later.

15.4 Assignment

You may not assign your rights under these Terms without our written consent. We may assign these Terms to a successor or affiliate.

15.5 Entire agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, Refund & Cancellation Policy, Cookie Policy, and other referenced documents, constitute the entire agreement between you and Nook.

15.6 Notices

Notices to you may be sent via email, in-app message, or posted on the website. Notices to us should be sent to legal@thenook.rent or our registered office address.
